Refund, Cancellation & Engagement Termination Policy

Effective Date: October 20, 2026

Aurchemy Advisory provides specialized executive advisory, organizational transformation, leadership effectiveness, and strategic consulting services to organizations.

Our professional engagements are customized to each client's objectives, organizational priorities, and agreed scope of work. Each engagement represents a mutual professional commitment in which Aurchemy Advisory agrees to perform the contracted services and the client agrees to fulfill the corresponding financial obligations.

This policy establishes the terms governing nonrefundable payments, contractual fee commitments, cancellation requests, termination rights, outstanding balances, and modifications to professional engagements.

1. Scope and Applicability

This policy applies to professional advisory and consulting services provided by Aurchemy Advisory, including executive advisory services, organizational assessments, leadership effectiveness consulting, transformation initiatives, operational effectiveness engagements, strategic consulting, workshops, and speaking engagements.

All professional engagements are governed by an applicable written agreement, which may include a Master Services Agreement (MSA), Statement of Work (SOW), or other mutually executed service contract.

The executed agreement establishes the scope of services, professional fees, payment schedule, deliverables, performance obligations, and any applicable termination provisions.

In the event of a conflict between this policy and an executed agreement, the executed agreement shall control to the extent permitted by applicable law.

2. Binding Professional Engagements

An engagement becomes contractually binding when the applicable service agreement has been validly executed by authorized representatives of both parties and any stated conditions for effectiveness have been satisfied.

Upon execution, Aurchemy Advisory commits to performing the professional services described in the agreement, and the client commits to satisfying the agreed financial obligations.

The client's payment obligation is not contingent upon subjective satisfaction, changes in internal priorities, leadership transitions, or a subsequent decision that the services are no longer desired, unless the executed agreement expressly provides otherwise.

Neither party may unilaterally cancel, rescind, or materially alter the agreement except as expressly permitted by the executed agreement or applicable law.

3. Nonrefundable Payments

All payments made to Aurchemy Advisory under a validly executed professional services agreement are intended to be final and nonrefundable, to the fullest extent permitted by applicable law and the governing agreement.

This includes initial deposits, scheduled installments, milestone payments, final balances, and payments made in full.

The nonrefundable nature of these payments reflects the professional commitments associated with accepting an engagement, including allocation of advisory capacity, preparation, strategic planning, performance of contracted services, and other obligations established in the executed agreement.

A client's decision to discontinue participation, change organizational priorities, postpone implementation, or decline to use completed deliverables does not, by itself, establish entitlement to a refund.

This provision does not eliminate any remedy that cannot lawfully be waived, including remedies that may arise from Aurchemy Advisory's material breach of contract, fraud, or other legally recognized grounds.

4. Initial Deposits and Engagement Commitments

Aurchemy Advisory may require an initial deposit or engagement payment before commencing services.

The deposit amount, due date, and purpose will be identified in the applicable executed agreement.

Unless otherwise expressly stated in the agreement, initial deposits are nonrefundable to the extent permitted by applicable law.

Payment of an initial deposit confirms the client's financial commitment under the executed agreement but does not replace the client's obligation to pay the remaining contracted fees.

An initial deposit shall be credited toward the total engagement fee as specified in the applicable agreement.

Failure to pay subsequent installments or the remaining balance does not automatically release the client from its contractual payment obligations.

5. Payment in Full, Installments, and Outstanding Balances

Professional fees may be payable in full, through scheduled installments, or upon completion of specified contractual milestones.

The applicable executed agreement will establish the total engagement fee, payment schedule, invoicing procedures, and any conditions governing payment.

Where the agreement establishes a fixed total fee for a defined engagement, the client remains responsible for that contractual fee according to the agreement's payment and termination provisions.

A client's unilateral decision to discontinue an engagement does not automatically extinguish the remaining balance.

Aurchemy Advisory reserves the right to invoice and pursue payment of all amounts properly due under the executed agreement, subject to applicable law.

Any acceleration of unpaid installments, early termination charge, or obligation to pay the entire remaining fixed fee following termination must be expressly established in the executed agreement and must be legally enforceable.

6. Client-Initiated Cancellation or Termination

Following execution of a professional services agreement, a client may not unilaterally cancel the engagement without regard to its contractual obligations.

Any request to cancel, suspend, or terminate an engagement must be submitted in writing and will be evaluated under the termination provisions of the executed agreement.

Unless the executed agreement expressly grants a termination-for-convenience right, a client's preference to discontinue services does not independently establish a contractual right to terminate without consequences.

Where termination is permitted, the client remains responsible for all fees, expenses, and other financial obligations that are properly payable under the executed agreement.

Termination does not automatically entitle the client to reimbursement of payments previously made or cancellation of outstanding contractual balances.

Any financial adjustment, credit, refund, or other remedy required by applicable law or arising from an enforceable contractual provision will be handled according to those requirements.

7. Termination by Aurchemy Advisory

Aurchemy Advisory reserves the right to suspend or terminate services where permitted by the executed agreement or applicable law, including circumstances involving:

  • Material nonpayment or failure to satisfy contractual financial obligations.
  • Material breach of the executed agreement.
  • Unlawful, unethical, or materially inappropriate requests.
  • Client conduct that substantially prevents or interferes with the performance of contracted services.
  • Other grounds expressly identified in the executed agreement.

Where the agreement requires written notice or an opportunity to remedy a breach, Aurchemy Advisory will comply with those requirements.

Termination by Aurchemy Advisory does not automatically eliminate amounts lawfully owed for services performed, earned fees, authorized expenses, or other enforceable contractual obligations.

If Aurchemy Advisory terminates an engagement without contractual justification or materially fails to perform its obligations, the client's available remedies will be determined by the executed agreement and applicable law.

8. Material Breach and Failure to Perform

Aurchemy Advisory is committed to performing its professional obligations in accordance with each executed agreement.

If either party believes the other has materially failed to fulfill its contractual obligations, the complaining party should provide written notice describing the alleged breach.

Any applicable opportunity to cure, suspension rights, termination rights, dispute resolution procedures, and available remedies will be governed by the executed agreement and applicable law.

A material breach by Aurchemy Advisory may give rise to contractual or legally required remedies, including monetary relief where applicable.

Nothing in this policy requires Aurchemy Advisory to provide an automatic refund upon an allegation of breach. Nor does this policy eliminate a client's legally enforceable remedies where a breach is established.

9. Outstanding Fees Following Termination

Termination, suspension, or discontinuation of an engagement does not automatically extinguish accrued payment obligations.

Aurchemy Advisory may issue a final statement identifying amounts properly owed under the executed agreement, including:

  • Unpaid invoices and accrued professional fees.
  • Completed and contractually billable milestones.
  • Authorized expenses and other enforceable charges.
  • Any remaining fixed-fee obligations that are enforceable under the agreement.
  • Applicable credits, offsets, or adjustments required by the agreement or law.

Outstanding balances remain payable according to the applicable contractual payment terms.

Aurchemy Advisory reserves the right to pursue lawful collection of unpaid amounts, including available contractual remedies and legal proceedings where appropriate.

Nothing in this section authorizes recovery of amounts that are not legally or contractually owed, or recovery exceeding applicable legal limits.

10. Changes to Scope of Services

The scope of each engagement is established in the executed agreement and applicable Statement of Work.

Neither party may unilaterally modify the contracted scope, professional fees, deliverables, or performance obligations.

Any material change must be documented through a written amendment or change order approved by authorized representatives of both parties.

Such changes may include:

  • Additional or revised advisory services.
  • Modifications to deliverables or organizational objectives.
  • Adjustments to project timelines or implementation requirements.
  • Changes to professional fees or payment milestones.
  • Expansion or reduction of the agreed scope.

Requests for additional services do not obligate Aurchemy Advisory to perform work outside the existing agreement.

A reduction in requested services does not automatically entitle the client to a fee reduction, credit, or refund.

Any resulting financial adjustment must be expressly agreed in writing or otherwise required by applicable law.

Unless and until a modification is mutually approved, the existing agreement remains in effect.

11. Speaking Engagements, Workshops, and Consultations

Speaking engagements, executive workshops, and scheduled professional consultations are subject to the payment, cancellation, and rescheduling provisions disclosed in their applicable booking agreements.

Fees paid for confirmed professional engagements are intended to be nonrefundable to the fullest extent permitted by applicable law.

Client-initiated cancellation, postponement, or changes to event arrangements do not automatically eliminate agreed financial obligations.

Any rescheduling accommodations, credits, or adjustments are subject to the applicable written agreement and mutual approval.

Complimentary discovery consultations are not subject to professional service fees unless separately agreed in writing.

12. Refund Requests and Contractual Disputes

Aurchemy Advisory maintains a general no-refund policy for validly executed professional services engagements, subject to the governing agreement and applicable law.

Refund requests based solely on a client's change of mind, shifting business priorities, voluntary discontinuation, or dissatisfaction with outcomes not contractually guaranteed will not ordinarily be approved.

Where a client alleges material nonperformance, breach of contract, billing error, or another legally recognized basis for relief, the matter will be reviewed under the applicable agreement and law.

Any payment adjustment or remedy determined to be legally required or contractually owed will be handled in accordance with the governing obligations.

Clients should submit contractual or billing concerns in writing using the contact information provided in their executed agreement or on the Aurchemy Advisory website.

13. No Physical Returns or Exchanges

Aurchemy Advisory provides professional consulting and advisory services rather than physical retail merchandise.

Accordingly, traditional merchandise returns, product exchanges, and shipping-related refund procedures do not apply.

Any separately offered physical products, if introduced in the future, will be subject to the return terms disclosed at the time of purchase and applicable law.

14. Relationship to Executed Agreements

This policy communicates Aurchemy Advisory's general commercial practices and expectations regarding professional service engagements.

The executed MSA, SOW, or other governing service agreement establishes the parties' binding contractual rights and obligations.

Where the executed agreement contains different or more specific provisions concerning fees, deposits, cancellation, termination, scope modifications, or dispute resolution, those provisions will control to the extent permitted by law.

Publication of this policy does not independently amend an existing executed agreement.

15. Applicable Law

This policy is intended to operate in accordance with applicable law.

The governing law, jurisdiction, and dispute resolution procedures applicable to a particular engagement may be established in the executed agreement, subject to applicable legal requirements.

Nothing in this policy is intended to waive nonwaivable statutory protections, eliminate remedies for legally actionable misconduct, or impose contractual obligations that applicable law prohibits.

Any provision determined to be invalid or unenforceable will be limited or severed to the extent legally permissible without automatically invalidating the remaining provisions.

16. Policy Updates

Aurchemy Advisory reserves the right to revise this policy to reflect changes in business practices, contractual procedures, or applicable law.

Updated versions will be published on the official website.

Revisions will apply prospectively and will not independently modify the terms of an existing executed agreement without the parties' mutual consent, except where required by applicable law.
